Terms of Service

01Who operates Astrea

Astrea is a desktop AI coding assistant that pairs with your editor and connects to hosted models through the Astrea gateway. These Terms of Service (the "Terms") govern your use of the Astrea website, the Astrea desktop application, and the Astrea gateway (together, the "Service").

The Service is operated by Astrea IDE SRL (the "Company," "we," "us," "our"). "You" and "your" refer to the person or organization using the Service.

02Acceptance of Terms

By creating an account, downloading the application, or otherwise using any part of the Service, you agree to be bound by these Terms and by our Privacy Policy (https://getastrea.com/privacy), which is incorporated by reference.

If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization as well.

If you do not agree to these Terms, do not access or use the Service.

03Eligibility

You must be at least 16 years old, or the age of digital consent in your jurisdiction if higher, to use the Service. By using the Service, you represent that you meet this requirement.

04The Service

The Service consists of:

• a desktop application that reads and edits files on your machine and connects to the Astrea gateway; and
• an account platform that authenticates the application, meters usage, connects your requests to third-party AI model providers, and provides a website dashboard for account and billing management.

Your source code and project files are processed locally, on your own machine. Astrea does not upload, store, or receive copies of your code, credentials, or project history. What we receive are the model requests you choose to send through the gateway, together with usage and billing metadata. See our Privacy Policy (https://getastrea.com/privacy) for details.

We may change, suspend, or discontinue any part of the Service at any time, with or without notice, and will not be liable for any resulting loss.

05Accounts and Credentials

You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. Notify us immediately at security@getastrea.com if you believe your credentials have been compromised.

We may suspend or terminate accounts that are inactive for an extended period, in breach of these Terms, or that present a security risk to the Service or other users.

06Credits and Payments

The Service is strictly pay-as-you-go: there are no subscription plans. Every account is either:

• Free, with 0 credits and access to free, shared models only, subject to a periodic allowance; or
• Paid, with a positive credit balance and access to paid models, billed against that balance at published rates.

An account moves between these states automatically as credits are added or spent; there is nothing to upgrade or downgrade.

Credits are purchased through Stripe Checkout and are denominated in USD. When a request is charged, the corresponding credits are deducted immediately. Credits are non-refundable once spent, except as required by applicable law.

If you have an outstanding balance owed to Astrea (for example, from a chargeback), we may suspend access to paid models until the balance is resolved.

07Free Tier

Free accounts receive a limited allowance for use of shared free models, which resets on a periodic basis. Available free models, allowance amounts, and reset periods may change at any time, and free models may be added, modified, or removed without notice.

08Auto Top-Up

With your permission, we can automatically charge a saved payment method when your balance falls below a threshold you choose, up to a minimum top-up amount you set. Auto top-up is optional and can be enabled or disabled at any time from your dashboard.

You are responsible for keeping your payment details current. A failed auto top-up attempt does not create credit in your account, and we are not responsible for any interruption of service that results.

09Acceptable Use

You agree not to use the Service to:

• violate any applicable law or regulation;
• infringe the intellectual property, privacy, or other rights of any third party;
• attempt to gain unauthorized access to the Service, other accounts, or related systems;
• interfere with, disrupt, or place undue load on the operation of the Service;
• generate, distribute, or facilitate malware, spam, or deceptive or fraudulent content; or
• use automated means (scraping, bulk querying, etc.) to extract data from the Service beyond normal, individual usage.

We may investigate suspected violations and may suspend or terminate accounts we reasonably believe are in breach of this section, with or without prior notice where warranted by risk to the Service or others.

10Third-Party Model Providers

The Service connects to third-party AI model providers (such as OpenRouter, opencode, Groq, and similar services). When you send a request, its content is forwarded to the provider serving the model you selected, and that provider may process and retain it under its own terms and privacy policy.

We do not control, and are not responsible for, the availability, behavior, or output of third-party models. AI-generated output can be incorrect, incomplete, insecure, or biased. You are responsible for reviewing and testing any code or content before relying on or deploying it.

11Your Content and Intellectual Property

You retain all rights to the content you create and the code you work on using the Service. We claim no ownership over your code, prompts, or output.

We do not train models on your code or prompts, and your requests are used only to fulfill them and to meter your usage, as described in our Privacy Policy (https://getastrea.com/privacy).

The Service itself (including its software, branding, trademarks, and documentation) is owned by Astrea and its licensors and is protected by intellectual property law. Except as expressly permitted by the applicable open-source or other license for a given component, you may not copy, modify, reverse engineer, or redistribute the Service.

12Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without any obligation to you. You are not required to provide feedback.

13Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that AI-generated output will be accurate, complete, or suitable for any particular purpose.

Astrea is not a substitute for professional legal, medical, financial, or security advice, and nothing in the Service should be treated as such.

14Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTREA AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties, so some of the above limitations may not apply to you.

15Indemnification

You agree to defend, indemnify, and hold harmless Astrea and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party right, including intellectual property or privacy rights.

16Termination

You may stop using the Service, and close your account, at any time. We may suspend or terminate your access at any time, with or without cause and with or without notice, including for breach of these Terms.

Upon termination, your account and its usage history may be deleted after a reasonable retention period, consistent with our Privacy Policy (https://getastrea.com/privacy). Unspent credits will not be refunded except where required by applicable law.

Sections 10 through 15 and 17 through 19 survive termination of these Terms.

17Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, legal requirements, or our practices. We will post the updated Terms on this page with a new "Last updated" date, and we will notify you of material changes through the Service (for example, by email or an in-app notice).

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree, you should stop using the Service.

18Governing Law and Disputes

These Terms are governed by the laws of Romania, without regard to its conflict-of-law principles, and any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of that jurisdiction.

If you are a consumer resident in the EU, EEA, or UK, the mandatory consumer-protection provisions of your country of residence continue to apply notwithstanding this section.

19General

• Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Astrea regarding the Service.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
